General Terms and Conditions for Flowable AG Training Courses

The following General Terms & Conditions for training and other courses (the “GTC”) apply to all training and similar courses offered by Flowable AG (hereinafter "Flowable"), unless other or deviating agreements have been made for individual events.

1. Registration

1.1 Registration can be made by e-mail (trainings@flowable.com), via the homepage (https://flowable.com/services/training/), fax or letter and is legally binding. The registration is considered accepted if not been rejected within 10 (ten) days after receipt of the registration. Flowable will confirm the participation by sending a confirmation of registration.

1.2 If the registration is made by accepting a training offer, it must be duly signed and returned to the contact person at Flowable named in the training offer. After written acceptance by Flowable (order confirmation), the training offer is considered to be legally accepted and binding for the training participant.

1.3 Flowable reserves the right to limit the number of participants for training and courses (minimum or maximum number of participants).

1.4 Registrations will be considered in the order in which they are received.


2. Participation fee and financial conditions

2.1 Invoices will be sent to the participants before the start of the training or course. Payment in due time is a prerequisite for participation. If payment is not received in time before the start of the training or course, Flowable reserves the right to allocate the course place elsewhere. Section 5 of the GTC applies accordingly.

2.2 If a discount or other benefits are to be claimed for participation in a training or course, this must already be indicated in the registration.

3. Scope of services

3.1 The scope of services of a training or course is specified in the respective training documentation or training offer (see section 1.2).

3.2 Unless otherwise agreed, training or instruction is exclusively conducted remotely.


4. Changes

4.1 Flowable expressly reserves the right to make changes to the programme, provided that the overall character of the training or course is thereby maintained. Insignificant changes, changes of speakers/referees or the relocation of the place of performance (see section 3.2) do not entitle the participant to a reduction of the participation fee or to cancellation by the participant.

4.2 Flowable reserves the right to cancel a training or course for important reasons. This is especially the case if a speaker/referee is absent or ill, if the minimum number of participants is not reached or in case of a force majeure event. Upon occurrence of such an event, Flowable will inform the participants of cancellations or changes As soon as possible. Any alternative dates for holding the training or course will be announced (if applicable). If a training or course is completely cancelled by Flowable, already paid participation fees will be refunded. Further claims are expressly excluded (see section 8).


5. Cancellation by participants

5.1 Participants can cancel their registration at any time without providing reasons for cancellation. Cancellation must be made by e-mail (trainings@flowable.com ), via the homepage (https://flowable.com/services/training/), fax or letter.

5.2 For written cancellation up to 20 (twenty) days prior to the start of the training 50% (fifty percent) of the participation fee (plus statutory VAT) will be charged. For cancellation up to 10 (ten) days prior to the start of the training the full participation fee (plus statutory VAT) is due and payable, unless a replacement participant is suggested.


6. Copyright / Intellectual Property

6.1 As far as training documents or other working materials are handed out or made available to the participants, they are subject to the exclusive copyright of Flowable (intellectual property). This includes in particular rights to the source code of all Flowable software products and all associated documentation, patents, trademarks, internet domain names, trade secrets, database rights, design rights, know-how, techniques, processes and methods. These may not be copied, distributed or published in any other way, neither in whole nor in part, not even for the purpose of internal training, without the express written permission of Flowable.

6.2 Video and photo recordings during training or instruction are expressly not permitted.

** 6.3** Except as otherwise provided, Flowable grants the participants in the training documents or other working materials the non-exclusive, revocable, non-transferable right to use the training documents or other working materials for their own exclusive purposes within the scope of the training or course.


7. Data protection

The data provided by the participants in the context of their registration will be collected, stored and processed by Flowable only for the purpose of the training or education, unless the participants have already given their consent to further data processing. Data will only be handed out to third parties if this is absolutely necessary for the execution of the training or course. Additional information on data protection can be found here.


8. Liability

To the extent permitted by law, Flowable hereby excludes any liability for damages of any kind in connection with the execution of trainings or courses. In particular, Flowable waives any liability for a specific technical or economic success, indirect damages, lost profits, lost use, loss of data or other indirect, special or consequential damages of any kind. Liability for slight negligence is expressly excluded, subject to further mandatory legal liability provisions.


9. Final provisions

9.1 Should one of the above-mentioned provisions be invalid, this shall not affect the remaining provisions.

9.2 Unless otherwise stipulated, participants are only granted access to training documents, other working materials or programme codes of Flowable Software products other than those mentioned here on the basis of a separate contractual agreement.

9.3 These General Terms & Conditions for training and other courses of Flowable AG replace all previous conditions. Oral or written side agreements do not exist or are deemed to be waived.

9.4 The place of jurisdiction for all disputes arising out of, or in connection with, trainings and courses of Flowable AG is at the location of Flowable AG's headquarters. These General Term and Conditions shall in all respects be governed by, and construed and interpreted in accordance with, the laws of Switzerland.
